I guess Windows Phone not doing great so they are looking to improve it by integrating Nokia.

I'm not sure exactly how much Nokia as a company is worth, but if I was the CEO, I'd be pretty happy to get rid of it.

Please, tell me, in what ways does Nokia compete with Windows? They aren't a software company, and they've only really made Windows phones for the last 5+ years.
